When confidentiality meets disclosure obligations, governance judgement matters.

The Vodacom ‘Please-call’me” matter was settled but the quantum was not disclosed. This raises an important governance question: when a matter is confidential, how much information is still required to ensure stakeholders understand its significance?

A board that continues to approach governance as a compliance item on the agenda is completely missing the point.

King V™’s reduction from 17 to 13 core principles wasn’t a tidy editorial exercise. It was the King Committee signalling that the era of passive, checkbox governance is over. Boards must now actively demonstrate how their practices produce real outcomes: an ethical culture, effective control, legitimate leadership, and sustainable performance.

The boards that treat this as a remapping exercise are missing what the Code is actually asking. The boards that restructure their agendas around strategic debate, active risk evaluation, and defensible decision-making are the ones this Code was written for.

A corporate governance advisory function that can’t explain how its practices realise King V™’s outcomes is not meeting the standard.

King V™ is now in effect. The question for every board is no longer whether to adapt but how quickly, and how well.

Released on 31 October 2025 and effective for financial years beginning on or after 1 January 2026, the King V™ Report on Corporate Governance reshapes the South African governance environment.

Seventeen principles have been consolidated into thirteen.

"Effective Control" has been redefined as Conformance. A mandatory Disclosure Framework replaces the flexibility of "apply and explain". And for the first time, boards are explicitly accountable for the governance of AI and data.

FluidRock's intermediate-level programme: Understanding the Governance Environment: King V™ is designed for board members, company secretaries, compliance and risk leaders, and executives translating the new code into practice.

Participants explore the philosophy behind King V™, its 13 principles, the four governance outcomes, and the disclosure expectations now shaping reporting, stakeholder engagement, and ethical leadership.
