Bernard and Jan-Frans first met as law students at Stellenbosch University. Years later, each has built his own legal practice — which makes sitting together discussing where the profession is heading rather special.

You Cancel an Offer to Purchase After Signing?

“I’ve changed my mind… can I cancel the Offer to Purchase?”

The answer isn’t always straightforward.
Once an Offer to Purchase has been accepted by both the buyer and seller, it generally becomes a legally binding agreement.

It is not simply an expression of interest that can be withdrawn without consequences.

Whether an agreement can be cancelled depends on several factors, including:
✔️ The terms of the Offer to Purchase
✔️ The circumstances surrounding the transaction
✔️ The applicable law

Every property transaction is unique, which is why it’s important to obtain legal advice before making any decisions that could affect your rights or obligations.

Many Offers to Purchase include a suspensive condition, such as obtaining bond approval by a specific date.

If that condition isn’t met within the agreed time, the agreement may lapse and no longer be enforceable.

A recent article in De Rebus (August 2025) highlights two Supreme Court of Appeal judgments that clarify an important point: once an agreement has lapsed because a suspensive condition wasn’t fulfilled in time, it isn’t always possible to simply “revive” it by agreement.
It’s a timely reminder that the clauses and deadlines in an Offer to Purchase matter—and should never be overlooked.
