A reminder for Florida Small Business Owners - the deadline for filing Annual Reports is coming up on MONDAY, MAY 1!

Unsure what an Annual Report is, or whether or not your business is affected? ECCP is offering FREE business status reports through April 30! Please contact us at [email protected] with the full legal name of your business for your complimentary report.

If you operate a for-profit business (corporation, LLC, LP, LLLP) in the State of Florida, you are required to file an Annual Report with the Florida Department of State's Division of Corporations in order to keep your business active.

Any entity that has not filed its Annual Report by May 1 will be assessed a $400 late fee by the State, and if the Annual Report isn't filed (AND the late fee paid) by the third Friday in September, the business is subject to administrative dissolution by the State.
...... What does that even mean, though?

A "limited liability" business that has been revoked doesn’t actually limit any liabilities AT ALL.

For the average small business owner, operating while in administrative dissolution:
* compromises your insurance eligibility and coverages
* denies your business the right to defend itself against any claims brought against it, and
* shifts the burden of any liabilities (and/or debts) from the entity to THE OWNER PERSONALLY.

A reminder for Texas Small Business Owners - the deadline for filing Annual Reports is coming up on MONDAY, MAY 15!

Unsure what an Annual Report is, or whether or not your business is affected? ECCP is offering FREE business status reports through April 30! Please contact us at [email protected] with the full legal name of your business for your complimentary report.

It's Soapbox Saturday and we have some questions for you!

Question ~ If you are a parent of a minor child, do you have a formal guardianship designation?

75% of minor children are completely unprotected should something unexpected happen.

Question ~ If you make money by providing goods or services to other people, you are a considered small business owner and are required to have a registered agent for your entity on file with the state. Do you know who your registered agent is?

Thousands of small business owners are operating in tax forfeiture with an inactive business charter for failure to file required annual reports. Notices of that type are sent to registered agents so if you don’t know who your registered agent is, your business may not be in good standing.

On today's episode of "FML Friday," - and, by FML I mean Figure My Liability, obvi - I want to tell you about Jackie.

Jackie spent a LOT of time trying different hair and makeup techniques in her teens, so she got pretty good at it. Later on, after she had kids, she built a nice side hustle booking hair and makeup sessions for weddings, proms, special events ... nothing official of course, but it was fun, she was good at it, and the extra cash was nice.

Recently Jackie helped several sweet girls with hair and makeup for their school's Winter Formal. However, at some point in the evening, one of the girl's face had badly broken out into some type of rash. Thankfully, it was determined to be a simple and temporary skin irritation that cleared up quickly.

Ultimately, the origins of the rash and skin irritation were suspected to be related to a product or a combination of products that Jackie had used earlier that day while doing her makeup. So the girl's parents decided to sue Jackie for negligence.

It's FML Friday for Jackie, so let's Figure Her Liability.

Whether or not the rash was actually caused by any of Jackie's products is irrelevant. The court will make that determination. What's important in Jackie's situation is WHAT the court decides.

Since her hair and makeup hustle isn't anything "official," Jackie is acting as a sole proprietor, meaning she is using her personal identity for the business, and THAT means that under the law, and she is personally responsible for the business's debts and actions.

So if the court finds her liable, any monetary damages (including the costs of the lawsuit itself) will become a PERSONAL financial responsibility for Jackie ... AND her husband (even though he doesn't know a lash extension from an extension cord, but hey for better or worse, right?)

Jackie certainly wasn't TRYING to find any trouble, she was just doing her thing, yet it could be devastating for her entire family.

You guys. It is NOT complicated OR costly to get your business "officially official;" most people simply don't really know how it works.

On today’s episode of “What Had Happen Was” Wednesday, I’m gonna tell you about a small business owner named James.

James is a landscaper, and runs a residential landscaping company. He has a handful of crews that maintain a whole bunch of properties on a routine, scheduled, rotating basis. He uses QuickBooks to handle his invoicing, payments and payroll, so for the most part his accounting runs pretty much on autopilot.

Over the holidays, a higher than usual percentage of his customers didn’t pay their December invoices (shocker, right?). Hoping everyone’s budgets would recover in January, he let QuickBooks send out payment reminders. Some of his past due customers did pay, but most did not.

James tried reaching out to these customers by email or text here and there but … look, he’s got schedules to make and jobs to quote and employees to pay and that one trailer that just WILL NOT stay fixed, so he just bumps the nonpaid customers off of his schedule, sends spiteful vibes their way for being a pain in his asset, and then goes on about his business. What else can you do and who has the time anyway, right?

But as it happens, his wife’s sister is an A/R Recovery specialist and offers to help James out. He figures hey, what could it hurt so why not, right?

A week later, over half of those outstanding invoices had been paid, and within the month almost ALL were paid or had plans in place to pay.

James. Was. Shook. What in the medieval mafia madhattery had she done to get all those invoices paid?
