🌟3 Reasons Your LLC Needs an Operating Agreement 🌟
An operating agreement is the ROAD MAP for your LLC and gives everyone clear directions how the LLC will operate, now, and in the future.
It's a great way to:
1. Resolve Disagreements - Things are typically rosy 🌹 at the beginning of a new business, but as time goes on people don't always agree. An operating agreement can set forth how any number of disagreements will be handled. This way, everyone knows up front.
2. Allow for Controlled Growth - An operating agreement can provide a clear method for adding additional members. It's always wise to have a plan for this to help control under what circumstances outsiders can buy into your company.
3. Help Secure Limited Liability - LLC's come with great protections to shield you from personal liability, but you have to follow certain formalities to prove you actually operate as an LLC. An operating agreement provides legitimacy before a court by showing your LLC has formal rules for operating the business (of course, you must show you actually follow what the operating agreement says).
***You should always have your operating agreement reviewed by an attorney you trust to ensure it meets your business' goals.

🌟 3 Tips for LLC's🌟
1. File a Tradename (d/b/a) - This allows you to use your company name without the "LLC"; for example, if your company is "Example LLC" you can file a tradename to be called "Example."
2. Strategically Choose your Registered Agent - Are you a small business and using your home address? You may not want a process server or sheriff showing up at your home during dinner to serve a lawsuit on you. Consider asking an attorney to be your registered agent for a nominal fee.
3. Get a Legally Sufficient Operating Agreement (this is SO important) - This is a road map for your LLC that should outline how your company will operate, be capitalized, add or get rid of owners, and more. This is even more important if you have multiple owners!
Bonus: Find a CPA you trust and talk with them regarding your LLC's tax obligations!
