Update regarding the Corporate Transparency Act and Business Owner Information filings:
On February 27, 2025, FinCEN announced that companies that do not file or update their beneficial ownership information (BOI) reports pursuant to the Corporate Transparency Act (CTA) by the current deadlines—March 21, 2025, for most companies—will not be fined or penalized. In addition, no later than March 21, 2025, FinCEN intends to issue an interim final rule that extends BOI reporting deadlines.
FinCEN also intends to solicit public comment on potential revisions to existing BOI reporting requirements.

Attention all LLC owners - if you have not filed online pursuant to the federal Corporate Transparency Act - the deadlines have been slightly extended in January 2025. The website is www.fincen.gov
All LLC owners are required to file the Beneficial Owners Information (BOI)
In light of a December 23, 2024, federal Court of Appeals decision, reporting companies, except as indicated below, are once again required to file beneficial ownership information with FinCEN. However, because the Department of the Treasury recognizes that reporting companies may need additional time to comply given the period when the preliminary injunction had been in effect, we have extended the reporting deadline as follows:
Reporting companies that were created or registered prior to January 1, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN. (These companies would otherwise have been required to report by January 1, 2025.)
Reporting companies created or registered in the United States on or after September 4, 2024 that had a filing deadline between December 3, 2024 and December 23, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN.
Reporting companies created or registered in the United States on or after December 3, 2024 and on or before December 23, 2024 have an additional 21 days from their original filing deadline to file their initial beneficial ownership information reports with FinCEN.
Reporting companies that qualify for disaster relief may have extended deadlines that fall beyond January 13, 2025. These companies should abide by whichever deadline falls later.
Reporting companies that are created or registered in the United States on or after January 1, 2025 have 30 days to file their initial beneficial ownership information reports with FinCEN after receiving actual or public notice that their creation or registration is effective.

After a successful 25 year career as in-house counsel performing a wide variety of legal services, I opened my law practice in the Cypress, Texas area in 2015. I provide estate planning services for individuals and families in Cypress, Houston, Katy, and surrounding areas. My goal is to bring peace of mind to my clients by providing the appropriate estate planning legal guidance and documents in a convenient and stress-free manner.
A graduate of The University of Texas, Austin with a Bachelor of Arts in English Literature, I returned to Houston and received my law degree at The University of Houston Law Center. I am a native Houstonian, and have lived in the Cypress community for over thirty years. Currently, my law practice is based in my home, allowing me the opportunity to be available for my middle school athlete, Jack. This arrangement also permits me to share my office with Henry, our two-year old Maltipoo. He keeps things interesting! I have been married for 25 years to Trip, who serves as a financial advisor and insurance broker.
Let’s be honest, no one is particularly excited about making decisions concerning their estate planning documents. It’s one of those things we need to do, but usually move to the bottom of the list. That’s why I like to keep the process of creating a client’s estate plan as simple and convenient as possible.
Generally, the initial steps are handled through email and phone conversations. If necessary or requested, we can meet in person to discuss your needs and concerns. When the documents are completed, I typically meet with clients in their homes - not a stuffy law office. Meeting in the client’s home has several advantages - it is more convenient for the client and their witnesses (there is no traffic or parking issues), provides a comfortable and relaxed environment for the clients, and allows the opportunity to get to know my clients personally, without interruption. I want to provide each client with the best service and experience possible, in the hope that they will feel confident in referring me to their family and friends.
One last thought - if you want to maintain control over the decisions that impact you and your family, then you need to complete your estate plan and keep it updated. We never know when something may happen to us that leads to incapacity or our untimely death. If you have not made decisions for yourself and your family, someone else, likely a judge, will have to make those decisions for you. Let’s work together to make sure your decisions are documented.
