We practice in a variety of

areas of law in order to better serve our clients. However, our primary areas of practice consist of the following:

Banking and Finance Law: We provide full service representation to multiple financial institutions. In the course of that representation, we regularly advise and represent financial institutions with respect to the following types of issues: the preparation and negotiation of commercial loan documents and the closing of loan transactions; the review of loan documents for regulatory compliance and other concerns; the collection and enforcement of secured and unsecured loans and other payment obligations, including, workouts or restructurings of delinquent obligations, litigation (including foreclosure litigation), the appointment of receivers, and cases filed under the United States Bankruptcy Code; and issues concerning deposit accounts and certificates of deposit, liability on negotiable instruments, garnishments and levies, and powers of attorney and trust documents. Business and Commercial Law: We advise our clients with respect to entity selection, entity governance and owner relations, ongoing management, risk management, contract review, contract drafting and negotiation, the enforcement of non-competition and other restrictive covenants, the purchase and sale of assets and business interests, and dissolutions of entities. We also assist our business and commercial clients with obtaining financing and collecting accounts receivable. Real Estate Law: We advise our clients in nearly every facet of real estate law. We represent purchasers, sellers and lenders in the acquisition or sale of commercial, agricultural and residential real property and we represent owners, contractors and subcontractors on construction and development projects. We also negotiate and enforce residential, office, commercial and industrial leases for tenants and landlords. Civil Litigation: We represent commercial and individual clients as both plaintiffs and defendants in litigation matters throughout the state and federal courts in Ohio. We also represent commercial and individual clients in mediation, arbitration and other alternative dispute resolution mechanisms when contractually mandated or cost-effective. Estate Planning and Administration: We assist our clients in establishing estate plans that are designed to transfer property in the manner intended by our clients while also minimizing estate taxes and administration costs. We prepare wills, trusts and other documents and implement planning techniques that are best suited to meet our clients’ individual estate planning needs. We also prepare powers of attorney and advance directives for health care in order to help our clients respond to unforeseen problems that may be caused by illness or disability. Domestic Relations: We get to know our clients and we assist them in terminating their marriage with dignity and in a cost-efficient manner. We seek to achieve our client's goals and protect their interests while guiding them through what is often an overwhelming and emotional time.

Effective as of January 1, 2022, all limited liability companies within the state of Ohio became governed by the Ohio Revised Limited Liability Company Act. This new law completely replaces the prior law that governed limited liability companies in Ohio. This new law could also have an adverse impact on your existing business if an operating agreement is not adopted or adjusted.
