⚖️ Divine Inspiration is Not a Legal Strategy!

Last week, I stopped by my old secondary school mate’s office — proudly labeled “BABAJIDE & SONS CONSTRUCTION LTD.”

I was happy to see him doing well until he casually said:
“Barrister, I haven’t registered it with CAC yet, but the name came to me by divine inspiration.”

😳 My smile froze. My friend had unknowingly walked into serious legal trouble.

Using “LTD” or any business name without CAC registration is a criminal offence.

🚨 What the CAC Is Saying:

The Corporate Affairs Commission (CAC) recently issued a strong warning:

👉 If you’re using an unregistered business name, acronym, or abbreviation — whether on social media, flyers, or your storefront — you’re breaking the law.

According to Section 863 of the Companies and Allied Matters Act (CAMA) 2020:
🔹 Only registered names can be used in business
🔹 Failing to comply can lead to:

Up to 2 years in prison

Daily fines

Legal prosecution for false claims

📝 What Must Be Displayed:

All registered businesses are now required to publicly display their RC or BN numbers on:
✅ Business premises
✅ Social media pages
✅ Letterheads
✅ Invoices & Receipts
✅ Ads & Flyers

⏳ 6 Weeks to Comply

Starting April 29, 2025, CAC has given businesses a 6-week grace period to register or update all public materials.

✅ What You Should Do Today:

1. Register your business with CAC — it’s non-negotiable.
2. Avoid acronyms or abbreviations not listed on your certificate.
3. Display your CAC number clearly on all platforms.
4. Consult a legal expert to avoid hidden risks.

In a recent public notice, the Corporate Affairs Commission (CAC) has issued a strong warning to all individuals and businesses operating in Nigeria under unregistered names, acronyms, or labels. If you’re using a business name that is not properly registered with the CAC whether on your flyers, social media pages, or even on your store banner. you may be breaking the law without even knowing it.

What Exactly Did CAC Say?

The CAC referenced Section 863 of the Companies and Allied Matters Act (CAMA) 2020 , which states that no one is permitted to carry on business in Nigeria using an unregistered name, abbreviation, or acronym. Violating this provision is not just a regulatory issue. it’s a criminal offence.

In addition, the CAC emphasized that every registered business must display its registration number on:
– Business premises
– Social media platforms
– Letterheads
– Invoices
– Receipts
– Flyers and advertisements

Failure to comply with this requirement may attract serious legal consequences, including:

Penalties for Non-Compliance:
– Imprisonment of up to 2 years
– A daily fine until compliance is achieved
– Legal action against individuals or business owners who give false information about registration

6-Week Grace Period

As of April 29, 2025, CAC has given a 6-week window for businesses to align with these requirements. That means if you’re currently operating under a name that hasn’t been properly registered, now is the time to act.

What You Should Do Now

Here’s how to stay compliant and avoid CAC sanctions:

1. Register Your Business Name or Company Whether you’re a freelancer, small business owner, or NGO founder, your name must be officially registered with CAC.

2. Avoid Using Unregistered Acronyms: Don’t use an abbreviation or business tag that hasn’t been included in your CAC certificate.

3. Display Your CAC Details Publicly: Add your business name and RC/BN number to all your public platforms and materials.

4. Seek Professional Help If You’re Unsure: If you’re not sure where your business stands, get a professional to check your registration status or process it properly.
