CAN YOU SUE FOR EMPLOYEE NEGLIGENCE?

When an employee makes a mistake that costs the business, who is actually responsible?

The answer cuts both ways:
An employer can take legal action against an employee whose negligence caused DIRECT financial loss to the business. But if that same employee's negligence harms a third party, the employer may also be held liable.
This is called vicarious liability.

Negligence of duty has consequences on both sides of the employment relationship.

A Deed of Assignment and a Deed of Gift can both be used in connection with the transfer of an interest in property, but they are fundamentally different instruments.

📌 A Deed of Assignment is generally used to transfer an existing interest in property from one party to another. It is commonly associated with transactions where there is consideration, such as the sale or transfer of an interest in land.

📌 A Deed of Gift, as the name suggests, is used where property or an interest in property is voluntarily transferred as a gift, rather than as a transaction for a purchase price.

📢The distinction is therefore not simply about the name written at the top of the document. The nature of the transaction, the interest being transferred, the intention of the parties and the applicable legal requirements all matter.

There may also be additional requirements and formalities involved in transferring interests in land, depending on the nature and location of the property.

This is why using a document simply because someone says it is the “usual one” may not be enough. The appropriate legal instrument should reflect the actual transaction taking place📃

When property is involved, getting the documentation right from the beginning can save you from significant complications later.

“Indemnity” is one of those legal words that appears regularly in contracts but is often overlooked because it sounds more complicated than it is.

In general terms, an indemnity is a contractual promise by one party to compensate or protect another party against specified losses, liabilities, costs or claims.

For example, a contract may contain an indemnity under which one party agrees to cover certain losses suffered by the other party as a result of particular events or actions.

The important word here is specified.

An indemnity does not necessarily mean that one party has agreed to pay for absolutely anything that goes wrong. The scope of the indemnity depends on the wording of the agreement.

This is why indemnity clauses deserve careful attention when reviewing a contract. Questions such as what is covered, whose actions trigger the indemnity, what losses can be recovered, and whether there are any limitations can make a significant difference.

Two contracts can both contain an “indemnity clause” while creating very different obligations.

So, the next time you see the word “indemnity” in a contract, don't simply skip past it. Read the clause carefully and understand exactly what it requires you to take responsibility for.

Have you ever wondered why some legal documents require a witness to sign them?

It may seem like an unnecessary formality. After all, if you have signed the document yourself, why should another person's signature matter?

📌The answer is that witnessing can serve important legal purposes.

A witness can provide evidence that a person actually signed the document and that the signature was made voluntarily. If the validity or ex*****on of the document is later questioned, the witness may be able to confirm what happened when the document was signed.

For certain documents, witnessing is also a legal requirement. This means that simply signing the document may not be enough to make it valid or effective.

The requirements, however, are not the same for every legal document. The number or qualification of witnesses, how the document must be executed, and other formalities can depend on the type of document and the applicable law.

This is why you should not assume that a document is legally effective simply because everyone involved has signed it.

Sometimes, the formalities surrounding a signature are just as important as the signature itself.
