Competition Wednesday: UAE Competition Law Gets Its Procedural Engine
The UAE has issued its Competition Law Executive Regulations (Cabinet Resolution No. 59 of 2026), and it’s a significant step forward for merger control in the region.

What changed:
The new Regulations provide a detailed procedural framework for merger notification and review under the UAE’s 2023 Competition Law. They clarify:
✅ Filing procedures
✅ Review mechanics and timelines
✅ Third-party participation in merger reviews
✅ The Ministry’s investigative role

Why it matters:
For dealmakers, competition risk in the UAE now comes with far more defined procedural rules. Notably, third parties can participate in notified merger reviews, subject to the conditions set out in the Regulations, adding a new dimension to deal planning and timing.

The takeaway:
The UAE is moving toward a more structured, internationally recognizable merger-control regime, bringing greater predictability for businesses navigating M&A in the region.

WHAT HAPPENS TO YOUR IP WHEN YOUR BUSINESS IS SOLD?

As a business owner, you’ve built your brand, developed the products, created the content and cultivated a loyal customer base but what happens to the intellectual property when the business changes hands?

From trademarks and copyrights to patents, software, trade secrets, domain names and customer databases, IP can represent a substantial part of a company’s value.

So, when a business is sold, the question who owns the IP, what exactly is being transferred, and has the IP been properly protected and documented must be asked.

This is why IP due diligence matters. Before you buy or sell a business, you need to know what intellectual property exists, who owns it, whether it is protected, and whether it can legally be transferred. Trademarks, patents, and copyrights each require a specific written assignment agreement. Without formal assignment and, where required, recordal with the relevant IP office, the seller may retain legal title even after the sale completes.
