Have you heard about conversion of titles when it comes to transacting on property? What is conversion and what does it have to do with your property?

Before 2012, Land in Kenya was registered under different regimes provided by several statutes: including the Registration of Titles Act (RTA), Registered Land Act (RLA), and Government Lands Act (GLA).

However, since coming into force of the Land Act and Land Registration Act in 2012, that registration under the various Acts of parliament began to be migrated to a single, unified registration system.

Conversion of Titles updates administrative registration records by migrating existing land details into the current unified register while maintaining the exact existing ownership rights and legal status of the land.

A landowner would want to convert their land from the old register to the new register for the following reasons:

1.It Enables Digital Property Transactions: Land registries now require converted titles to conduct online property searches, upload documents, and complete sales or transfers through the digital Ardhisasa platform.
2.It Unlocks Bank Financing and Mortgages: Many Commercial banks and financial institutions require property to be fully converted and registered under the Land Registration Act before accepting it as collateral for loans or issuing mortgages.
3. It Secures Boundaries and Reduces Disputes: Converted titles are anchored on official Registry Index Maps (RIMs) rather than isolated deed plans, establishing precise cadastral survey boundaries that protect against encroachment.
4.It Safeguards Against Fraud and Double Allocation: Migrating records to the centralized, digital register eliminates duplicate title records and creates a transparent, verifiable chain of registration.
5.It Maintains Market Value and Buyers' Confidence: Properties with fully converted titles attract prospective buyers, as conveyancing advocates and surveyors can verify ownership and records quickly without administrative delays.

At MNG & Company Advocates, we assist landowners with ensuring that their parcels are fully converted by guiding them through the step-by-step conversion process:
1. Gazette Verification & Cross-Referencing.
2.Title & Registry Verification
3.Lodging Objections & Rectifications within the statutory 90-day window if any errors exist in boundaries, acreage, or owner details.
4.Liaising with Financial Institutions & Third Parties
5.Application & Processing of Replacement Title (Form LRA 97)

Meet Kevin and Sarah. πŸ’•

Ten years ago, they fell in love, had a colourful wedding, and started building a life together. Kevin was a rising corporate manager, paying the mortgage and buying land. Sarah stepped back from her full-time career to manage their home, raise their two children, and supervise the construction of their rental units in Syokimau.

Fast forward to today: the marriage has hit the rocks. The couple is looking towards divorce. Kevin walks into a lawyer's office thinking, "The title deeds are in my name, and I paid every shilling. Everything is 100% mine."
Sarah walks in thinking, "We were married for 10 years, so the law automatically splits everything 50/50, right?"

What does the law have to say?
In Kenya, the Matrimonial Property Act is the law that provides the position on the division of property acquired during the course of the marriage. It operates on proven contribution as follows:

β›” The 50/50 Myth: The Supreme Court set the precedent that marriage does not automatically guarantee half the property. You must prove what you brought to the table.

⭐ Non-Financial Contribution: The law recognizes Sarah’s domestic work, childcare, and time spent supervising construction as legal contributions. Kevin couldn't have built that wealth without her supporting the home front.

πŸ“Œ Registration of Assets in One Partner’s name:): Just because Kevin’s name is on the title deed doesn't mean it's exclusively his. The law presumes he holds that property in trust for both of them if Sarah contributed.

πŸ›‘οΈ The Matrimonial Home Safeguard: Neither Kevin nor Sarah can sell, mortgage, or lease their family home without the other’s written consent, nor can either person be kicked out.

πŸ—οΈ Separate Assets: If one spouse inherited land before the marriage, it remains property of that spouse unless the other spouse helped develop or improve it during their time together.

When love fades, don't let your hard-earned assets turn into a legal gamble.
Smart spouses protect their future by taking clear action:
πŸ”Ž Keep track of financial records, M-Pesa receipts, and loan documents
πŸ”Ž Document non-financial support and domestic roles
πŸ”Ž Conduct official land searches to verify asset ownership
πŸ”Ž For amicable separations, formalize fair settlements through a legally binding Property Settlement Agreement.

Have you received a "Notice of Intended Redundancy" email/ letter? πŸ“© Are you an employee who has been told, "Kazi imeisha, hii ndio mwezi yako ya mwisho"

Don't panic just yet. 🚨

In Kenya, losing your job through restructuring isn't just an administrative decision, it is a process that is strictly regulated by law.

Section 40 of the Employment Act makes it mandatory that:
βœ… Objective selection criteria must be used (e.g., Last-In-First-Out, skill, attendance)
βœ… A 1-month Notice of Intended Redundancy must be issued to you/your union AND the Labour Officer in your area.
βœ… Genuine consultation MUST take place before termination
βœ… A separate 1-month Notice of Termination (or pay in lieu) must be provided
βœ… Severance pay (at least 15 days' pay per completed year of service) + accrued leave must be paid

Missing even ONE of these steps? The redundancy may be declared procedurally unfair and have the courts invalidate it.

Smart employees and employers do more than just send or sign a letter, they:

πŸ” Verify that the Labour Officer was formally notified
πŸ” Demand a genuine, back-and-forth consultation process
πŸ” Ensure the selection criteria wasn't arbitrary or discriminatory
πŸ” Confirm that the two mandatory legal notices weren't collapsed into one
πŸ” Have an advocate review every document and terminal benefit calculation

At MNG & Company Advocates, we guide employers through bulletproof redundancy procedures and defend employees against unlawful terminations. We protect your rights so you can move forward with peace of mind. πŸ˜ƒ

Renewing Short-Term Contracts for Years? What the Law has to say. 🚨

Been putting workers on 3-month, 6-month, or 1-year contracts... for years?

The Court of Appeal in the case of Kenya County Government Workers Union v Embu County Government provides that: Keeping an employee under endlessly renewed fixed term contracts where the employee conducts work that is continuous and permanent in nature is an unfair labour practice.

The situation:

Health workers in the Embu County had been employed on renewable short-term contracts - 3 months, 6 months, 1 year continuously for long periods of time. Some had even served for over 20 years on these rolling contracts which were renewed repeatedly.

Workers performed duties and were engaged in a relationship that was continuous and permanent in nature but were kept in the cycle of endless renewal of these short-term contracts.

The Court of Appeal said:

πŸ‘‰ "The respondents' action condemned in the strongest terms."

πŸ‘‰ "Repeated short-term engagements spanning years... absence of benefits such as leave, benefits, and pension; and continued uncertainty despite long service."

πŸ‘‰ "Signing contracts of 3 months which were renewed on expiry is a roundabout way of avoiding the provisions of the law on employment."

πŸ‘‰ "An employer cannot retain an employee under rolling short-term arrangements for long periods as such conduct is a deliberate circumvention of labour protections."

πŸ‘‰ "The long and continuous service entitled the workers to statutory protection."

What the Court Declared:

βœ… The employment relationship in this matter was NOT casual or temporary, it was permanent and pensionable
βœ… Employers cannot use contract labels to avoid legal obligations
βœ… Keeping workers on endless short-term contracts violates Article 41 of the Constitution (right to fair labour practices)
βœ… The court ordered Embu County to regularize all affected workers

What This Means for Employers:
That 6-month contract with your employees that has been renewed for 5 years, that might not be a short-term relationship; It may may be permanent employment in substance.

⚠️ You are in breach if you:

Keep renewing short contracts indefinitely

Use contract labels to avoid giving statutory benefits

Leave workers in contractual uncertainty while they perform ongoing duties

Is Your Employment Relationship Compliant? πŸ€”
Whether you're an employer with workers on rolling contracts wanting to comply with the law, or an employee who's been renewed year after year, know your rights and obligations.

At MNG & Company Advocates, we:
βœ… Review employment contracts and HR practices for employers
βœ… Advise employees on their rights and entitlements
βœ… Handle disputes, compliance, and regularization matters

A Handshake Isn't a Contract

Shook hands on a land deal? Paid a deposit? 🀝

That is not enough in Kenyan law. 🚨

In Kenya, verbal agreements for land are NOT legally enforceable, no matter how much you trust the other party.

Section 3(3) of the Law of Contract Act is clear:
βœ… The contract must be in WRITING
βœ… Signed by ALL parties involved
βœ… Witnessed by independent witnesses

Without these three things? No binding contract. The court won't enforce it. πŸ’”

Think about it , why would you risk your life savings on a handshake? Your land is your biggest asset. Protect it.

Smart buyers do more than just sign:
πŸ” Verify the title at the Lands Registry
πŸ” Inspect the land physically
πŸ” Check for encumbrances or disputes
πŸ” Get consent if it's agricultural land
πŸ” Have an advocate review every document

At MNG & Company Advocates, we draft watertight Sale Agreements and handle the entire conveyancing process , from due diligence to transfer. We protect your millions so you can invest with peace of mind. πŸ’ͺ
