Based in JSA’s Mumbai office, Aditi specialises in banking and finance and insolvency, with experience across syndicated lending, debt capital markets, project, real estate and structured finance, as well as debt restructuring.

Her work includes advising Deutsche Bank and Standard Chartered Bank on NCD financing for a JSW group entity’s acquisition of Bhushan Power & Steel, and advising the committee of creditors in the insolvency resolution of Sintex Industries.

A graduate of Gujarat National Law University, Aditi has been practising since 2010 and spent five years with Cyril Amarchand Mangaldas before joining JSA.

Students work through the key documents and protections involved in a lending transaction, including:
• Conditions precedent, covenants and events of default in loan agreements
• Share pledges and guarantees
• Escrow waterfalls and intercreditor agreements
• Negotiating protections around regulatory breaches and defaults
One practical insight she emphasises is the importance of promoter commitment when lenders fund an SPV — ensuring that the promoter has meaningful skin in the game.

She also demonstrates how a borrower may prevent a minor regulatory breach from automatically becoming an event of default through mechanisms such as a monetary threshold, cure period or material adverse effect qualifier.

𝐌𝐞𝐞𝐭 𝐌𝐬. 𝐀𝐝𝐢𝐭𝐢 𝐓𝐚𝐦𝐛𝐢, Counsel at AZB & Partners and a mentor for Mentblue’s Contract & Commercial Drafting: Strategy and Negotiation course.

⚖️ With over 10 years of experience in dispute resolution, Ms. Tambi advises on domestic and international commercial arbitration, particularly construction and engineering disputes, alongside corporate litigation and commercial disputes.

✍️ In the classroom, she focuses on the pre-dispute stage: drafting legal notices, invoking arbitration under Section 21, and choosing the right forum.

Her key lesson? **A legal notice is not just correspondence. It is the beginning of your case.** The statements made at this stage can shape the dispute that follows.

She also highlights a fundamental rule of litigation: limitation matters. Even a strong claim can be lost if it is time-barred.

Before the Constitution came into force, Dr. B.R. Ambedkar warned that its fate would depend on the people entrusted with putting it into practice.

Nani Palkhivala, Ram Jethmalani, Harish Salve and M.K. Gandhi each left behind ideas that remind us of a deeper truth: **the law is only as good as the people who uphold it.**

Meet Mr. Gauhar Mirza, Partner at Saraf and Partners and one of the mentors for Mentblue’s Contract & Commercial Drafting: Strategy and Negotiation course.

Mr. Mirza works across dispute resolution, technology law, and domestic and international commercial arbitration. His experience includes representing NHPC and Engineers India in arbitrations, Tata Projects in challenges to arbitral awards before the Delhi High Court, and Facebook, Instagram and WhatsApp in technology litigation.

His professional recognition includes being named a Litigation Star by Benchmark Litigation Asia-Pacific in 2025 and 2026, and Disputes Lawyer of the Year by the Indian National Bar Association in 2024. He is also a Professor of Practice at UPES, Dehradun.

✍️ **His approach to drafting: the four Cs.**

Clarity. Conciseness. Completeness. Correctness.

Mr. Mirza also highlights the risks of “midnight clauses” — dispute resolution provisions treated as boilerplate and approved at the last minute, only to create complications when a dispute arises years later.

His advice is to think five to seven years beyond the signing date. Good drafting anticipates future disputes, considers the commercial realities of the transaction, and ensures that the agreement continues to serve its purpose when it matters most.
