Sometimes, property transactions do not go to plan and the risk can escalate quickly.

In this case, we were instructed after contracts had already been exchanged at auction, only to identify that the property was not mortgageable, leaving the client in a very difficult position.

Rather than simply progressing matters, our Residential Property team took a step back, assessed the risks and focused on protecting the client’s position.

Through a strategic and proactive approach, we were able to secure the return of the client’s deposit - an outcome that was far from guaranteed.

For many couples, conversations about wealth before marriage can feel uncomfortable.

Your co-director doesn’t owe duties to you. They owe duties to the company.

That distinction catches many directors off guard.

Under the Companies Act 2006, directors owe legal duties to the company itself, not to individual shareholders.

So what happens if:
• A director diverts an opportunity to themselves?
• Pays themselves excessive remuneration?
• Fails to disclose a conflict of interest?
• Or simply refuses to take action against wrongdoing?

If the board won’t act - and the company has suffered loss - UK law provides a remedy that many entrepreneurs have never heard of: a derivative action.

This allows a shareholder to bring a claim on behalf of the company against a director for breach of duty.

It’s not a step to take lightly. The court must grant permission. The evidence must be strong. The strategy must be right.

But in the right circumstances, it is a powerful tool.

We often see directors wait too long before taking advice, by which point financial damage and relationship breakdown have already escalated.
