Your business doesn't need to be perfect from day one.

Most businesses evolve over time.

Contracts get updated.

Business structures change.

Protection improves.

Processes become more sophisticated.

The important thing isn't having everything perfect on day one.

It's recognising when something needs attention and taking action before a small issue becomes a larger one.

Building a business is a journey, not a single moment in time.

How do you actually register a trade mark?

A lot of business owners know they should be thinking about trade marks, but aren't sure where to start.

The process generally involves:

✔️ Searching for existing trade marks
✔️ Identifying the right goods and services classes
✔️ Filing an application with IP Australia
✔️ Addressing any issues raised during examination
✔️ Obtaining registration

The earlier you consider trade mark protection, the better.

I've seen businesses invest heavily in branding and marketing, only to encounter problems that could have been identified much earlier.

Your brand is one of your most valuable assets. It is worth taking steps to protect it.

📩 If you're unsure where to start, feel free to get in touch.

Thinking of starting a business?

Before you invest in a website, signage, marketing and social media, make sure your brand is actually protected.

Many business owners are surprised to learn that registering a business name or company name does not automatically give them trade mark rights.

I've seen businesses spend thousands building a brand, only to discover there is an issue with someone else's rights.

Protecting your brand early can be much easier (and cheaper) than rebranding later.

Your brand is often one of your most valuable business assets. Treat it that way from day one.

📩 If you're unsure where your business stands, I'd be happy to help.

I had the pleasure of presenting at BNI Casey Connect in BNI Melbourne South East this morning on the topic of Employees vs Contractors.

It's a topic that comes up regularly for business owners, and one where there are still plenty of misconceptions. Having an ABN, sending invoices or signing a contractor agreement doesn't automatically make someone a contractor. What really matters is the nature of the working relationship in practice.

One of my favourite takeaways from today's presentation was:

"A worker doesn't become a contractor simply because we call them one. What matters is the reality of the relationship."

A big thank you to everyone who attended and contributed to the discussion. It's always great to connect with local business owners and share practical legal insights that can help businesses grow with confidence.

The biggest mistake I see business owners make when selling their business?

They wait until a buyer appears before they start preparing for a sale.

By then, issues that could have been easily fixed often become negotiation points.

Some common examples include:
🟢 Key contracts that were never signed
🟢 Trade marks registered in the owner's personal name
🟢 Informal supplier arrangements
🟢 Customer relationships that rely entirely on the founder
🟢 Outdated employment records

None of these issues will necessarily stop a sale.

However, if the buyer discovers them first, there is a good chance they will either:
➡️ Reduce their offer, or
➡️ Walk away altogether.

The strongest business sales are usually the result of preparation long before the business goes to market.

If selling your business is something you may consider in the next few years, now is the time to start preparing.

The earlier you start, the more control you have over the outcome.

What's the biggest concern you'd have about selling your business?

Selling your business? Don't overlook one of the most important early decisions.

Many business owners focus on finding a buyer and agreeing a price. However, one of the most important decisions is often made much earlier:

👉 Will the sale be structured as an asset sale or a share sale?

While they can achieve the same outcome commercially, the legal and financial consequences can be very different.

The structure can affect:

✅ Tax outcomes
✅ Employee arrangements
✅ Contract transfers
✅ Due diligence requirements
✅ How risk is allocated between buyer and seller

There is no one-size-fits-all approach. The right structure depends on the business, the parties involved and the goals of the transaction.

One of the most common mistakes I see is waiting until after commercial terms have been agreed before discussing the structure.

By then, changing course can be difficult and expensive.

If you're considering buying or selling a business, it's worth getting advice early.

You can't fix your business structure overnight when it suddenly matters.

Many business owners don't think much about their legal structure until something significant happens, such as:

✔️ Selling the business
✔️ Bringing in a business partner
✔️ Seeking investment
✔️ Facing a dispute

At that point, the questions become:

• Who owns what?
• Is everything properly documented?
• Can business assets actually be transferred?
• What rights and obligations does everyone have?

I've seen situations where deals are delayed or become more complicated because the legal foundations weren't established early enough.

A business structure shouldn't be viewed as a one-time setup decision. It should evolve as the business grows.

The businesses that are best positioned for future opportunities are often the ones that planned ahead.

Legal structure works best when it develops alongside the business, not after the fact.

While I believe R U OK? Day should be every day, it’s a good reminder to pause, check in and simply ask the question. 💚 You never know what someone might be going through behind the scenes. If you or someone you know needs to reach out, know that there’s always someone here to listen.

Choosing the wrong business structure can be an expensive mistake.

When starting a business, many people choose the structure that's quickest and cheapest to set up.

But your business structure affects much more than the registration process.

It can impact:

✅ Your personal liability
✅ Tax outcomes
✅ Ownership arrangements
✅ Opportunities for investment and growth
✅ The sale of your business in the future
✅ Employment obligations

A sole trader structure can be the right choice for some businesses.

However, if you're signing significant contracts, employing staff, or developing valuable intellectual property, it's worth thinking about where your business is heading, not just where it is today.

I've seen business owners spend thousands restructuring later when a little planning upfront could have avoided the issue.

Instead of asking:

"What's the easiest option right now?"

Ask:

"Where do I want this business to be in three years?"

A good structure should support your growth, not limit it.
