Australia's merger and acquisition laws changed at the start of 2026, and they affect more transactions than most people realise.

From 1 January 2026, certain business acquisitions must be notified to the ACCC before they can proceed. If a notifiable deal completes without that clearance, it is automatically void, not just challengeable.

Most buyers and sellers in the SME space assume these rules only apply to large corporate deals. That assumption is worth checking carefully.

If you're buying or selling a business this year, your due diligence process needs to include a merger notification assessment from the outset, not at the end.

Victoria's Security of Payment laws changed significantly in April 2026 and they apply to construction contracts that were already in place before the new laws started.

A few things worth knowing if you're a builder, contractor, or developer:

The "excluded amounts" rule has been removed. Payment terms are now capped at 20 business days. And if you're calling on a performance security, you now need to give at least 5 business days' notice first.

These aren't minor tweaks. If you have ongoing construction contracts and you haven't reviewed them under the new framework, now is the time.

Australia's unfair contract terms laws have applied to small business contracts since 2023. New legislation introduced in 2026 extends those protections further, and the ACCC has made enforcement a priority this year.

The clauses that attract scrutiny: automatic renewals, unilateral rights to change price or terms, harsh cancellation fees, and one-sided indemnities.

If you have been using the same standard form contracts for a few years without a legal review, now is a reasonable time to have them looked at. The cost of a review is modest. The cost of a complaint or enforcement action is not.
