If you serve on the board of a not-for-profit, do you know what your legal duties are? Many NFP board members and directors are passionate volunteers – but may not fully understand the personal legal obligations that come with the role.

Under Australian law, NFP directors have duties including:

• A duty to act with reasonable care and diligence

• A duty to act in good faith and in the best interests of the organisation

• A duty to not misuse your position or information • A duty to disclose and manage conflicts of interest

• A duty to ensure the organisation does not trade while insolvent These duties are not optional, and they apply to every director – regardless of whether you are paid or volunteer.

If your board hasn’t had a governance review or training session recently, it’s worth investing the time. Good governance protects both the organisation and its people. Our NFP team can assist with board training, governance reviews, and policy development.
