Can a court change the wording of a signed contract?

In a recent NSW Court of Appeal case, a property developer argued that a deed did not reflect the parties’ intended approach to calculating the purchase price.

The appeal was dismissed. The evidence did not clearly establish the precise common intention claimed by the developer, and several issues weakened its case, including inconsistent arguments, the failure to call its solicitor as a witness and the commercial consequences of the proposed change.
